Investment Roles
Accredited Investor (SEC Regulated)
Your individual income has been $200,000 or more in the past two years, and you have a reasonable expectation of reaching the same income level this year OR your joint income with your spouse has been $300,000 or more in the past two years, and you have a reasonable expectation of reaching the same income level this year OR your individual or join net worth exceeds $1,000,000, excluding your primary residence.
Limited Partner (LP, Passive)
A limited partner has purchased shares in the partnership as an investment but is not involved in its day-to-day business. Limited partners cannot incur obligations on behalf of the partnership, participate in daily operations, or manage the operation. Limited partners can invest while keeping their liability limited.
General Partner (GP, Active)
A general partner is one of two or more investors who jointly own a business that is structured as a partnership, and who assumes a day-to-day role in managing it. General partners typically bring specialized knowledge and skills to the partnership and contribute to its pool of contacts and clients.
